By accessing the website at resilient.events ("Website") or engaging Resilient Events ("Company," "we," "us") for consulting, logistics, or management services, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Description of Services
Resilient Events is a strategic consulting firm. We provide:
- Event revenue architecture and strategy.
- Logistics facilitation and vendor management.
- Market expansion consulting.
- Connection to third-party technology platforms (e.g., Showpass).
Note: While we facilitate connections with third-party vendors (ticketing, AV, venues), your agreements with those vendors may be subject to their separate terms and conditions.
3. Client Responsibilities
When engaging our services, you (the "Client") agree to:
- Provide accurate and timely information regarding event specifications, budgets, and timelines.
- Obtain necessary permits, licenses, and insurance for your events, unless explicitly contracted to Resilient Events in a Statement of Work (SOW).
- Ensure that any content or intellectual property provided to Resilient Events for marketing purposes does not infringe on third-party rights.
4. Intellectual Property
The materials contained on this Website are protected by applicable copyright and trademark law. "Resilient Events" and the Resilient Events logo are trademarks of Resilient Events.
Client Data: You retain ownership of your customer data (e.g., ticketing lists) generated during your events. Resilient Events claims no ownership over your proprietary business data but reserves the right to use aggregated, anonymized data for internal analysis and case studies.
5. Limitation of Liability
In no event shall Resilient Events, its officers, directors, employees, or agents be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Resilient Events' website or the failure of a third-party vendor facilitated by us.
Event Outcomes: While we provide strategic advice based on industry expertise, we do not guarantee specific financial outcomes, attendance numbers, or revenue targets for your events.
6. Indemnification
You agree to defend, indemnify, and hold harmless Resilient Events, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service.
- Your event operations, including safety failures, cancellations, or onsite incidents.
- Any disputes between you and third-party vendors or attendees.
7. Force Majeure
Resilient Events shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power, or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service.
Given our headquarters in New Orleans, we specifically note that hurricane-related interruptions are considered Force Majeure events.

Our Website and services may contain links to or integrations with third-party websites or services (e.g., Showpass for ticketing). We are not responsible for the content or practices of these third parties. Your use of third-party services is at your own risk and subject to the terms and conditions of use for such sites.

These terms and conditions are governed by and construed in accordance with the laws of the State of Louisiana and the United States. You irrevocably submit to the exclusive jurisdiction of the courts in the State of Louisiana for any disputes arising out of or relating to these Terms.
